Terms of Use and Disclaimer of Liability

These Terms of Use ("Terms") govern your access to and use of MyValleyGuns.com (the "Site"), which is owned and operated by David B. Briggman ("Owner," "we," "us" or "our"). By entering, browsing, searching, listing on or otherwise using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

1. Age Requirement

You must be at least eighteen (18) years of age to access or use the Site. By using the Site you represent and warrant that you are at least 18 years old and legally able to enter into these Terms. You further acknowledge that federal law prohibits a licensed dealer from selling or delivering a handgun, or ammunition suitable only for a handgun, to any person under twenty one (21) years of age, and that state and local law may impose additional age or eligibility requirements. Any person who misrepresents his or her age does so at his or her own risk and in violation of these Terms.

2. The Site Is an Advertising Venue Only

The Site is an online classified advertising directory. The Owner does not sell, buy, broker, consign, transfer, ship, store, inspect, appraise or take possession of any firearm, ammunition, part, accessory or other item advertised on the Site. The Owner is not a federally licensed firearms dealer for purposes of any transaction arranged through the Site and is not a party to, agent for, or guarantor of any transaction between a buyer and a dealer or other advertiser ("Dealer"). Any contract of sale is solely between the buyer and the Dealer.

The Owner does not process payments and does not handle any funds for any transaction. Any communication you send through the Site's inquiry form is forwarded to the Dealer, who alone decides whether and how to respond.

3. Compliance With Law; Transfers Through Licensed Dealers

You are solely responsible for knowing and complying with all applicable federal, state and local laws governing the purchase, sale, possession, transportation, transfer and ownership of firearms, ammunition, suppressors, magazines, parts and accessories, including without limitation the Gun Control Act, the National Firearms Act, the Code of Virginia and the laws of your state and locality of residence.

Nothing on the Site is legal advice. If you have questions about the legality of a transaction, consult a licensed attorney in your jurisdiction.

4. Dealer Listings and Responsibilities

Listings are created and controlled by Dealers. Each Dealer represents and warrants that it holds every federal, state and local license required for its business; that it owns or is authorized to sell each item it lists; that each listing is accurate, complete and lawful; and that it will complete every sale in full compliance with applicable law, including verification of the buyer's identity, age and eligibility. Dealers are solely responsible for the content of their listings, photographs, prices, descriptions, availability, and for all warranties, returns, shipping, transfers and taxes relating to their sales.

The Owner may, but has no obligation to, review, edit, suspend or remove any listing or Dealer account at any time, for any reason or no reason, without notice or liability. The Owner's failure to remove any listing is not an endorsement of it.

Dealers may not list any item that is illegal to sell, stolen, subject to a recall that makes it unlawful to sell, or that the Dealer cannot lawfully transfer. Dealers may not list fully automatic weapons that are not lawfully transferable, items with altered or removed serial numbers, or any item intended to facilitate unlawful activity.

5. No Warranties

THE SITE AND ALL CONTENT, LISTINGS, SEARCH RESULTS AND INFORMATION ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE OWNER DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT. THE OWNER MAKES NO REPRESENTATION OR WARRANTY CONCERNING THE CONDITION, SAFETY, QUALITY, LEGALITY, AUTHENTICITY, PROVENANCE, VALUE OR AVAILABILITY OF ANY ITEM ADVERTISED ON THE SITE, OR THE IDENTITY, LICENSING, HONESTY OR ABILITY TO PERFORM OF ANY DEALER OR BUYER. THE OWNER DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR FREE OF ERRORS OR HARMFUL COMPONENTS.

6. Assumption of Risk

Firearms and ammunition are inherently dangerous. You acknowledge that the purchase, possession, handling and use of any firearm, ammunition or related item carries a risk of serious bodily injury, death and property damage. You voluntarily assume all such risks. You are solely responsible for having any firearm inspected by a qualified gunsmith before use, for using appropriate ammunition, and for safe storage and handling. Used, antique, modified and collectible firearms may be unsafe to fire.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OWNER, OR ANY AGENT, CONTRACTOR, SUCCESSOR OR ASSIGN OF THE OWNER, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF MONEY, ARISING OUT OF OR RELATING TO: (A) YOUR USE OF OR INABILITY TO USE THE SITE; (B) ANY LISTING OR CONTENT POSTED BY A DEALER OR OTHER USER; (C) ANY TRANSACTION, COMMUNICATION OR DISPUTE BETWEEN YOU AND ANY DEALER, BUYER OR THIRD PARTY; (D) ANY ITEM ADVERTISED ON THE SITE, INCLUDING ITS CONDITION, SAFETY, USE OR MISUSE; (E) ANY FRAUD, MISREPRESENTATION, NONDELIVERY OR NONPAYMENT BY ANY PERSON; OR (F) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR INFORMATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF THE OWNER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF THE OWNER IS FOUND LIABLE TO YOU FOR ANY REASON NOTWITHSTANDING THE FOREGOING, THE OWNER'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID THE OWNER FOR USE OF THE SITE DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you; in that case the Owner's liability is limited to the smallest amount permitted by law.

8. Third-Party Content and Immunity

Listings, photographs, descriptions, prices and other content supplied by Dealers and users are information provided by another information content provider. The Owner does not create or develop that content and is not responsible for it. The Owner is entitled to all protections available to providers of interactive computer services under 47 U.S.C. § 230 and other applicable law. Links to third-party websites are provided for convenience only and do not constitute an endorsement; the Owner is not responsible for any third-party site.

9. Indemnification

You agree to defend, indemnify and hold harmless the Owner and the Owner's agents, contractors, successors and assigns from and against any and all claims, demands, actions, losses, liabilities, damages, fines, penalties, costs and expenses, including reasonable attorney's fees, arising out of or relating to: your use of the Site; any listing or content you submit; any transaction or attempted transaction in which you participate; your violation of these Terms; or your violation of any law or the rights of any third party. Dealers specifically agree to indemnify the Owner against any claim arising from any item they list or any sale, transfer or shipment they make.

10. Prohibited Conduct

You agree not to: use the Site for any unlawful purpose or to facilitate any straw purchase or transfer to a prohibited person; post false, misleading or fraudulent content; harvest information about other users or Dealers; send unsolicited commercial messages through the inquiry system; interfere with the Site's operation or security; scrape the Site by automated means without written permission; or circumvent the age verification. The Owner may suspend or terminate access and may cooperate with law enforcement where it believes in good faith that the law requires or permits it.

11. Privacy

When you submit an inquiry, the name, email address, telephone number and message you provide are stored on the Site and delivered to the Dealer who posted the listing so that the Dealer can respond. Dealer account information you provide is used to operate your account and to display your public shop profile. The Site uses cookies to remember your age confirmation and to keep Dealers signed in. The Owner does not sell personal information. The Owner may disclose information if required by law, subpoena or court order. No method of transmission or storage is completely secure, and the Owner cannot guarantee the security of information you submit.

12. Intellectual Property

The Site's design, software, text and logos are the property of the Owner. By submitting a listing or photographs, a Dealer grants the Owner a non-exclusive, royalty-free, worldwide license to host, display, reproduce, resize and distribute that content in connection with the Site. Dealers represent that they own or have permission to use all content they submit. To report content you believe infringes your copyright, contact the Owner using the information in Section 15.

13. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles, and by applicable federal law. You agree that any action arising out of or relating to these Terms or the Site shall be brought exclusively in the state courts located in Rockingham County, Virginia, or in the United States District Court for the Western District of Virginia, Harrisonburg Division, and you consent to the personal jurisdiction of those courts. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

14. General Provisions

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. The Owner's failure to enforce any provision is not a waiver. These Terms constitute the entire agreement between you and the Owner regarding the Site. The Owner may revise these Terms at any time by posting the updated version on the Site; your continued use of the Site after a revision is posted constitutes acceptance of it. Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and the Owner.
